Referral Partner Terms and Conditions

This Referral Partner / Affiliate Agreement ("Agreement") is made and entered into by and between Wolf Bot AI ("Company") and the undersigned ("Referral Partner" or "Affiliate"), with all legal matters governed by the laws of the State of Florida, County of Hillsborough, City of Tampa.

By participating in the Wolf Bot AI Referral Program, you agree to the following terms and conditions:

1. Terms of Agreement

This Agreement is effective upon acceptance and will continue unless terminated by either party. The Company reserves the right to terminate this Agreement at any time, for any reason, with or without notice, and to withhold all future payouts at its discretion.

2. Responsibilities of the Referral Partner

- Customer Service & Support: As a Referral Partner, you are responsible for providing all customer service, billing, and support for your clients. The Company will serve as the referral partner agency for all accounts, usages, and services provided.

- Billing: Referral Partners are solely responsible for billing and collecting payments from their clients.

3. Commission Structure

- Recurring Commissions: You will earn recurring commissions for up to 12 months for each referred account, provided you bring in at least one account per calendar month. This qualifies you as an "Active Referral Partner."

- Inactive Referral Partner: If no new accounts are referred within a calendar month, commissions will only be paid for 90 days from the date of the client’s payment.

- Setup/Integration Fees: Fees for setup and integrations are not eligible for commissions.

- Client Cancellations: If a client cancels services, the last month of service is non-commissionable.

4. Commission Payment Terms

- Commissions are paid 30 days after the initial subscription payment is received, and subsequent commissions will be paid on the client’s next billing cycle.

- Although we provide tracking software and reporting, the Referral Partner is ultimately responsible for tracking their commissions as sales.

5. Commission Adjustments

- The Company reserves the right to modify commission percentages for any product or service at any time. However, if you have already made a sale, the commission percentage at the time of the sale will be honored.

6. Conflict Check

- The Company will conduct a conflict check to ensure that we do not service any clients you currently work with. If a conflict arises, the Company will notify you immediately.

7. Independent Contractor Status

- The Referral Partner, Referral Partner Agency, or Affiliate is considered an independent contractor under this Agreement and will not be treated as an employee of Wolf Bot AI.

- A 1099 tax form will be issued at the end of the year for tax purposes. The Referral Partner is responsible for their own taxes and any other associated legal obligations.

8. Termination

- Either party may terminate this Agreement at any time, with or without cause. Upon termination, any commissions due will be paid according to the terms of this Agreement, and no future commissions will accrue unless otherwise specified.

9. Miscellaneous

- This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.

- Any amendments to this Agreement must be in writing and signed by both parties.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, County of Hillsborough, City of Tampa.
